Please note that the provided inspiration image is for reference only and serves as a conceptual guide. The final design may vary based on materials, feasibility, and client preferences. All of the drawings, specifications, plans, sketches, and other documents prepared by us for your project are conceptual by nature and intended to set forth our design intent only. We do not provide 3-D rendering, only a 2-D sketch to get our initial ideas/inspiration across.

Painting services include 1 coat of paint and 2 coats of primer. Any additional coats requested or required will be billed at an additional cost.

Payment Terms

Typically, we require a 40% deposit to secure your project. However, for projects exceeding $10,000, a 60% initial deposit is required, with the remaining 40% due upon completion. Alternatively, you may opt to pay a 40% deposit to lock in your service date, then an additional 20% on the day services begin, with the final 40% due upon completion of the project.

Your deposit secures your confirmed start date.

Deposit and Booking

Proposal expires after 48 hours; rates are subject to change unless the deposit is paid on time.

Deposits are non-refundable unless canceled by Douglas Fields (Artist and CEO of Fields Home Improvements).

All invoices are payable upon receipt.

Any amounts owed by you to us that are not paid when due are subject to interest charges computed at an annual rate, equal to 25% (or the highest percentage rate permitted by law, if lower). In addition, we may suspend our services to you and/or withhold any item or merchandise until payment has been made. Client will be held liable for damages.

Payment for the full contracted scope of work, as originally agreed, is due in full upon completion of that work.

Any additional work requested outside the original scope shall be invoiced separately. Such additional work shall not postpone or delay payment of the balance owed for the original contracted scope.

If the final balance is not paid in full, or if no payment arrangements have been made and approved by the Contractor on the same day that the Contractor confirms the work is complete, the Contractor reserves the right to pursue all legal remedies available, including but not limited to the initiation of formal legal action, to recover the outstanding amount.

Change Order Process

Any changes, additions, or deviations from the original scope of work must be documented in a written change order & approved by both the Client & the Contractor before the work begins. Change orders shall describe the modified scope, any adjustments to pricing, and the revised timeline, if applicable. Verbal agreements, text messages, or other informal communications shall not be considered valid change orders. All change orders are billable in accordance with the Contractor’s current rates.

Dispute and Resolutions

The Client expressly agrees not to initiate or file any lawsuit, civil action, or claim for damages against Douglas Fields, Artist and CEO of Fields Home Improvements, or any of the Company’s officers, employees, agents, subcontractors, or other representatives, in any court of law.

All disputes, claims, or controversies arising out of or relating to this Agreement, the work performed, or any interactions between the parties shall be resolved exclusively through mediation and, if not resolved through mediation, then through binding arbitration, in accordance with the procedures outlined in the Dispute and Resolutions section of this Agreement.

Terms & Conditions

The following terms and conditions of sale will be applicable to all merchandise purchased by you, the client, pursuant to our proposal, purchase orders, invoices, or other order documents submitted to you as a proposal. In addition, these terms and conditions shall also apply to third-party decorative installations purchased by you through us (such as painting, trim installations, light fixture installations, TV mounts install, any installations connected to your project, and the like) pursuant to any of our proposals.

1. Price Changes

Proposal prices are adhered to as much as possible, however, considering many contingencies that affect design projects, including, but not limited to, periodic price increases from supplies. Accent wall installations, or any other cost of service related to purchase, manufacture, or installation of wall art, will not vary from any proposal or budget proposals established or approved by you considering the foregoing.

We reserve the right to increase your price. Accordingly, we will notify you of any price increases, and when the price increases by more than 10% over the original proposal price, we will obtain your written approval prior to purchase. We do not represent or warrant the price for any item of merchandise or service is the best available price.

2. Cancellations

No cancellations or returns of all proposals approved by you in writing are cancelable unless we expressly agreed to any such cancellation in writing in each instance. Should we accept the cancellation of an order (which acceptance may be withheld by us for any reason), we shall have the right to retain from any payments made by you, on account of such an order, an amount equal to the compensation of fees that we would have been entitled to have the order not been canceled.

In addition, you may be subject to restocking and cancellation charges. We will not under any circumstances accept cancellation of any custom or special order.

3. Indemnification

To the fullest extent permitted by the law, you agree to indemnify and hold us harmless from and any and all third-party claims, losses, liabilities, damages and costs, including reasonable eternity fees, and related cost each a claim, and together claims arising out of or resulting from the actions/omissions of you and/or any design-related professional construction contractor, subcontractor, tradesperson, supplier, agent, or other third-party hired or otherwise retained by you/on your behalf.

4. Limitation of Liability

To the fullest extent permitted by law, our total liability to you in regard to any and all claims, losses, and damages arising out of, relating to, or resulting from disagreement, or the services performed by us pursuant to disagreement, shall not for any reason exceed the greater of the total amount of the design fees, and other designer compensation, actually paid to us pursuant to this agreement, the available proceeds of our insurance policies if any, and if applicable.

Under no circumstances shall we be responsible for any indirect consequence or damage. Any injury, loss, damage, or delay caused by any reason beyond our reasonable control is not our responsibility. We are also not responsible for the actions or omissions of any design-related professionals, construction contractors, subcontractors, vendors, tradespersons, suppliers, agents, or other third parties, even if we recommend them to you.

Additional limitations of liability regarding the sale of merchandise to you are set forth. No action against us for breach of disagreement, or otherwise, may be brought more than one year after the day of the accrual of such a case of action.

5. Changes to Scope of Work

Any last-minute changes or requests that fall outside the original contracted scope of work shall be subject to additional charges, which will be billed separately. Such changes shall not delay or postpone payment of the balance owed for the original contracted scope of work, which remains due upon completion of that work.
